Sources and method

Where every line on this site comes from

The source: SEC EDGAR

Every filing comes from the U.S. Securities and Exchange Commission’s EDGAR system: each company’s public submissions record at data.sec.gov and, for insider forms, the filing’s own XML document at sec.gov/Archives. No key, no paid feed and no AI is involved. The site reads EDGAR every 30 minutes from 6 AM to 10:40 PM Eastern on weekdays and once late every night, a few requests a second at most, with a User-Agent that names the site, as the SEC asks.

Shown for each filing: the form type, filing date, the time the SEC accepted it, the period or event date, the main document’s name and, for Form 8-K, the item numbers the company tagged. Nothing is rewritten. Documents are not copied; every filing links to its index page at sec.gov.

The roster

A company is on the roster when its EDGAR business address is in a city, village or township of Cuyahoga County, Ohio, and EDGAR lists at least one ticker with an exchange for it. The address is re-read on every fetch: a company whose address moves out of the county, or that loses its listing, leaves the roster (its past filings stay on the site). The market shown beside each company is the one EDGAR lists, except where the companyOnce a week the site asksrsquo;s own 10-K cover names a narrower one (SIFCO: NYSE American). Once a week the site asks EDGAR full-text search for Ohio companies that filed a 10-K or 10-Q in the last 15 months and adds any that qualify.

Left out at launch, with the reason: Crawford United (filed Form 15-12G to end its registration), Olympic Steel (no ticker in EDGAR now), NovAccess Global and Park-Ohio Industries (no listed ticker; Park-Ohio Industries is a subsidiary of Park-Ohio Holdings, which is on the roster), Eaton (EDGAR address in Dublin, Ireland).

8-K items

Item numbers are as the company tagged them. The titles are the official ones from SEC Form 8-K; the short labels are ours, written to say what the item is, never what a filing means. See the form guide.

Insider transactions

Forms 3, 4 and 5 are read from their XML: the reporting person’s name exactly as filed, their relationship to the company (director, officer title, 10% owner), and each transaction line with its SEC code, shares, price, shares held afterwards and whether the filer ticked the Rule 10b5-1 plan box. Value is shares times price, shown only when a price above zero is given. Only forms where the roster company is the issuer are read (a company can also file as an owner of another company’s shares). Insider forms of the last 400 days are read at launch, newest first; new ones are read as they arrive.

Deadlines

The next periodic report is computed, not announced. The period end is the last 10-Q or 10-K period on record plus three months (or 13 weeks for 52/53-week fiscal years). It is a 10-K when that period end falls on the company’s fiscal year end. The latest date allowed is 40 days after a quarter for large accelerated and accelerated filers (45 for others) and 60, 75 or 90 days after the year for large accelerated, accelerated and other filers, moved to the next business day after a Saturday, Sunday or federal holiday (Rule 0-3). Filer status is the category EDGAR lists, which can lag a change.

Times and corrections

Times are Eastern. EDGAR records can change (a company can correct a filing or EDGAR can re-index one); each read refreshes the facts for filings of the last 400 days. Filings older than 400 days are removed from this site and remain at sec.gov.

Who runs it

Cuyahoga Courier is built and run by WeldonPC, Garfield Heights, Ohio. It is independent: not a newspaper, not Cuyahoga County or any government body, not the SEC, and not affiliated with any company on the roster. Company names and tickers identify the companies whose public filings are shown; no endorsement is implied.
